These Terms & Conditions apply to all offers, agreements, and services provided by Noord50 to its clients.

Definitions
Noord50
Noord50 B.V., a company registered in the Netherlands and operating via noord50.com.
Client
The natural person or legal entity entering into an agreement with Noord50.
Services
All sales related services provided by Noord50, including but not limited to outbound sales, sales outsourcing, sales intelligence, sales automation, training, and consulting.
Agreement
Any agreement, arrangement, or engagement between Noord50 and the Client regarding the provision of Services.
Article 1 Applicability
These Terms & Conditions apply to all offers, quotations, and agreements between Noord50 and the Client.
Any deviations are only valid if explicitly agreed in writing.
Article 2 Offers and Agreements
All offers and quotations are non binding unless stated otherwise.
An Agreement is concluded upon written confirmation by the Client or when Noord50 commences execution of the Services.
Article 3 Prices
All prices are exclusive of VAT and other applicable taxes unless stated otherwise.
Price Indexation
For Agreements with a duration exceeding twelve months, Noord50 reserves the right to annually adjust prices based on the CBS index for business services, with at least sixty days prior written notice.
If such indexation results in an increase of more than ten percent, the Client may terminate the Agreement in writing within fourteen days after notification.
Article 4 Additional Costs
Work performed outside the agreed scope will be charged separately.
Travel expenses and other additional costs will be charged according to prior agreements.
Article 5 Payment
Invoices must be paid within thirty days of the invoice date unless agreed otherwise.
Late Payment
In the event of late payment, the Client is in default by operation of law.
Noord50 reserves the right to charge statutory interest, collection costs, and to suspend Services until payment is received.
Article 6 Termination
Either party may terminate the Agreement in writing with a notice period of thirty days, unless agreed otherwise.
In the event of a material breach, the Agreement may be terminated with immediate effect.
Article 7 Force Majeure
In the event of force majeure, neither party shall be obliged to fulfill its obligations.
If force majeure persists for more than three months, either party may terminate the Agreement without liability for damages.
Article 8 Complaints
Complaints must be submitted in writing within ten days after discovery.
Remedy
Noord50 is entitled to remedy deficiencies or provide compensation up to the value of the relevant Service.
Article 9 Liability
Limitation
Noord50’s liability is limited to the amount paid out by its insurer or, if no payment is made, to the invoice amount of the relevant assignment, with a maximum of €50,000.
Noord50 shall not be liable for indirect damages, consequential damages, or loss of profit.
Article 10 Subcontracting
Noord50 is entitled to subcontract all or part of the Services to third parties.
Noord50 remains responsible for the proper execution of the Services.
Article 11 Changes
Changes to the scope of work may result in adjustments to pricing and delivery timelines.
All changes must be confirmed in writing.
Article 12 Duration and End of Agreement
Agreements may be entered into for a fixed or indefinite period.
Termination shall take place in accordance with the agreed notice period.
Article 13 Early Termination
In case of early termination by the Client, all costs incurred and a reasonable compensation remain payable.
Article 14 Intellectual Property
All intellectual property rights relating to materials, systems, workflows, automations, documentation, and methodologies developed by Noord50 remain vested in Noord50, unless agreed otherwise in writing.
The Client is granted a non exclusive, non transferable right to use such materials solely for internal business purposes during the term of the Agreement.
Article 15 Marketing and References
Unless expressly agreed otherwise in writing, Noord50 is entitled to use the Client’s name, logo, and a general description of the Services provided for marketing and communication purposes.
This includes, but is not limited to, use on the Noord50 website, in presentations, proposals, case studies, and sales materials.
Any references or case studies will be factual in nature and will not disclose confidential or commercially sensitive information without prior consent.
The Client may object to such use in writing at any time, after which Noord50 will cease further use within a reasonable period.
Article 16 Confidentiality
Both parties shall treat all confidential information obtained in the context of the Agreement as strictly confidential.
This obligation remains in force after termination of the Agreement.
Article 17 Data Protection (GDPR)
Noord50 processes personal data in accordance with the General Data Protection Regulation (GDPR).
Noord50 acts as data processor, while the Client acts as data controller.
A data processing agreement is available upon request.
Any data breach will be reported without undue delay, and no later than forty eight hours after discovery.
Article 18 Retention of Title
All delivered goods remain the property of Noord50 until full payment has been received.
Article 19 Governing Law and Disputes
These Terms & Conditions are governed by Dutch law.
Any disputes shall be submitted to the competent court in the Netherlands.
